Terms and Conditions
	THIS AGREEMENT and the referred materials contain the complete terms and conditions that apply to an individual or entity's participation in the Centurion Law Firm, Inc. Marketing Affiliate Program (the "Program"). This Agreement is made and entered into between and among Centurion Law Firm, Inc., a California Professional Corporation ("CLF") and you. As used in this Agreement, "we/us/our" means Centurion Law Firm, Inc. and "you" means the applicant. "Site" means a World Wide Web site. "YCA" shall mean the primary website of Centurion Law Firm, Inc. located at the URL www.YourCreditAttorney.com. All dollars ($), shall mean United States dollars. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND CENTURION LAW FIRM, INC. BY CLICKING ON THE SUBMIT APPLICATION BUTTON AT THE END OF THE SIGN UP PAGE, YOU ARE AFFIRMATIVELY STATING THAT YOU HAVE READ AND UNDERSTOOD THE TERMS SET FORTH HEREIN, ARE AFFIRMATIVELY INDICATING YOUR ACCEPTANCE OF THIS AGREEMENT AND YOU AGREE TO BE BOUND BY THE TERMS HEREOF. 1. ENROLLMENT IN THE MARKETING AFFILIATE PROGRAM. To begin enrollment in the program you will have to submit a complete application located on the CLF website www.YourCreditAttorney.com. Upon submitting a complete application you will be granted provisional acceptance to the program. Such provisional acceptance may be revoked at any time for any reason or for no reason at all. If, in the sole discretion of CLF your website, marketing newsletter or other communication shall contain, but is not limited to, any of the following your acceptance may be deemed unsuitable and be terminated (a) contain link(s) to nudity or pornography or promote sexually explicit materials; (b) promote violence; (c) promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; (d) promote illegal activities; (e) infringe intellectual property rights of ours, or otherwise violate the rights of any third party; (f) contain in our sole judgement material that is defamatory, fraudulent, or harassing to us or any third party; (g) promote the use of any pyramid or similar schemes; (h) contain false or deceptive advertising or promises, guarantees or warranties of service provided by CLF; (i) engage in unsolicited email marketing or "spam" as determined by CLF; or (j) purport to give legal advice. 2. LINKS ON YOUR SITE. You may add as many links to YCA, or remove such links, at anytime and without prior approval of us. You may select any one or more graphics offered on the Marketing Affiliate Resource page of the YCA site. The content, style and placement of these words and images will be your sole responsibility and within your sole discretion provided that you comply with the terms and conditions of this Agreement. You must ONLY place word(s) or graphic image(s) links on your site utilizing the code provided. You may NOT "hard" code image(s) on your site. You may not modify any of our icons, content, tools, text, trademarks, logos or any of our images (collectively "images") in any way. You agree to prominently display the Links on your site, subject to our guidelines as detailed in this agreement. We have the right in our sole discretion to monitor your site at any time to determine if you are in compliance with this agreement. 3. FEES AND PERFORMANCE BONUSES. You will be paid a standard performance commission of $50.00 (fifty dollars) for each of the first 10 clients that successfully retain our services as a result of clicking through from the link on your site to our site in a calendar month. You will be paid a performance bonus commission of $65.00 (sixty five dollars) for clients 11-20 that successfully retain our services as a result of clicking through from the link on your site to our site in a single calendar month. You will be paid a performance bonus commission of $75.00 (seventy five dollars) for clients 21 and greater that successfully retain our services as a result of clicking through from the link on your site to our site in a calendar month. You will also be paid a separate sub-affiliate/Tier performance bonus of $10.00 (ten dollars) for clients that successfully retain our services as a result of clicking through from the link on your sub-affiliate's/Tier's site. 4. SUB-AFFILIATES/TIERS. As an incentive to help CLF disseminate its' marketing information to the widest possible audience, we have developed the sub-affiliate/Tier program. A "sub-affiliate" or "Tier" is a Marketing Affiliate of CLF who becomes such by being referred to the program by a special link on your site. In order to be considered your sub-affiliate/Tier you must ensure that the sub-affiliate/Tier clicks through the special link on your site to our Marketing Affiliate area. THEY WILL NOT BECOME A SUB-AFFILIATE/TIER AND YOU WILL NOT BE CREDITED WITH SUB-AFFILIATE/TIER PERFORMANCE BONUSES UNLESS THEY CLICK THROUGH THE SPECIAL LINK ON YOUR SITE. CLF will not and can not make an existing marketing affiliate a sub-affiliate/Tier of another marketing affiliate after the application is completed. As detailed in section 3. when a visitor to your sub-affiliate/Tier clicks through the links on their site to YCA and that visitor successfully retains CLF you will receive a sub-affiliate/Tier bonus of $10.00, your sub-affiliate/Tier will also receive the standard performance bonus of $50.00 for that visitor, or the corresponding bonus commission applicable. WE WILL NOT TOLERATE CURRENT AFFILIATES SIGNING THEMSELVES UP AS SUB-AFFILIATES/TIERS UNDER THEIR OWN ASSIGNED AFFILIATE ID IN ORDER TO GENERATE THE ADDITIONAL PERFORMANCE BONUSES FOR THEIR OWN SALES. WE HAVE EXTENSIVE TRACKING SOFTWARE IN PLACE TO DETER THIS. IF WE FIND THAT THIS OCCURS THE ACCOUNT(S) IN QUESTION WILL BE IMMEDIATELY TERMINATED AND ANY BONUSES UNPAID SINCE OUR LAST PAYOUT WILL REMIAN THE SOLE PROPERTY OF CLF. Clients that retain our services will for the purposes of determining what level commission payout for that calendar month only be credited to the referring affiliate and not to any other affiliate within that tier. Therefore, if your sub-affiliate/Tier member refers a visitor who retains our services, the credit for purposes of determining what level commision is due, is given solely to the sub-affiliate/Tier member who referred that individual. 5. FEE PAYMENTS. All fees earned under this program, including the monthly fee, performance bonuses, and sub-affiliate/Tier performance bonuses will be made bi-weekly, on alternating Tuesdays. CLF reserves the right to withhold payment of any fees or bonuses that are less than $50.00. Any withheld payments not meeting the $50.00 threshold will be accrued to the marketing affiliates account until such amount exceeds this $50.00 minimum payment threshold. All payments will be made to the Payee and Payee Address as maintained in the Marketing Affiliate Database as of the date payments are processed. You may update this information through the Marketing Affiliate Account page. 6. CANCELLATION OF SERVICES. In order to qualify for a performance bonus, a client who successfully retains CLF services must remain a client of CLF for 31 (thirty one days) from retaining CLF services. If a client cancels their services with CLF within this 31 day window, all performance bonuses and sub-affiliate performance bonuses will be deducted from the amount owed to the qualifying affiliate and sub-affiliate. If the bonus(es) have already been paid by CLF to the affiliate and/or sub-affiliate the amount(s) will be deducted from what is currently owed to the affiliate and/or sub-affiliate. If no amount is owed to the affiliate and/or sub-affiliate the affiliate and/or sub-affiliate will be billed for the overpayment amount. 7. RESPONSIBILITY FOR YOUR SITE. You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site, including, but not limited to the technical operation of your site and all related equipment; posting icons, banners and links on your site and correctly linking those icons, banners and links to our site; the accuracy and appropriateness of materials posted on your site (including but not limited to all CLF related materials); ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, but not limited to, copyrights, trademarks, privacy, or other personal or proprietary rights); ensuring that materials posed on your site are not libelous, violate any provision of this Agreement or otherwise illegal and unlawful; do not purport to or give legal advice; a. YOU MAY NOT WARRANTY, GUARANTEE OR OTHERWISE PREDICT THE OUTCOME OF ANY PARTICULAR MATTER RELATING TO THE SERVICES OF CLF. b. CLF disclaims all liability for the matters stated in this section (7). 8. TRACKING OF SALES. CLF will be solely responsible for tracking the client's who retain our services who follow special links from our marketing affiliates sites. CLF reserves the sole right to determine whether a client who retains our services, came from a particular marketing affiliates site or link and the associated bonuses due as a result of this link. CLF reserves the right to reject any client or retainer that does not comply with our rules, operating procedures and policies. You will be solely responsible for ensuring that these special links are formatted properly, a necessary prerequisite to tracking such transactions. Statements of a marketing affiliates account and bonuses and fees due will be provided in realtime with a special URL that they are provided. 9. WEBSITE INTERRUPTION. CLF will make every effort to keep its website operational. However, certain technical difficulties may, from time to time, result in temporary service interruptions. The Marketing Affiliate, You, agrees not to hold CLF liable for any of the consequences, including but not limited to lost bonuses, as a result of such interruptions. 10. NON-EXCLUSIVE LIMITED LICENSE AND USE OF CLF MARKS AND INTELLECTUAL PROPERTY. We grant you a non-exclusive, non-transferable, revocable right to use our logos, trade names, trademarks and similar identifying material (collectively "CLF Marks") provided to you by us hereunder, solely for the purposes anticipated by this Agreement. You agree to use the CLF marks in a manner that will not disparage CLF or that otherwise portrays CLF in a negative light. We reserve all of our ownership, intellectual property and any other rights in the CLF Marks and confidential information, and any other materials or information associated with any of the foregoing. We may revoke the rights granted to you pursuant to this section at any time by giving you written or electronic notice. You shall not obtain any rights in or to the CLF marks. The rights granted to you pursuant to this section shall terminate upon the effective date of the expiration or termination of this agreement. 11. CHANGE OF TERMS. CLF reserves the right to change any conditions of this agreement at any time. Change notices are sent by email or written correspondence, marketing affiliates are responsible for complying with any changes to the agreement within 10 calendar days from the date of the change. Failure of the marketing affiliate to terminate the agreement within those 10 calendar days will constitute acceptance of the changes to this agreement 12. TERM OF THE AGREEMENT. The term of this Agreement will begin upon our acceptance of your application and will end when terminated by either party. Either you or us may terminate this Agreement at any time and for any reason, with or without cause, by giving the other party written or electronic notice of termination. You are only eligible to earn fees and bonuses for transactions occurring during the term of this Agreement, and fees earned through the date of termination will remain payable only if the related transactions are not canceled or returned. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon termination of this Agreement, (i) all licenses hereunder shall terminate, (ii) you shall immediately remove any links, icons, banners or other marks or intellectual property of CLF from your site and (iii) section 13, 15 and 17 and this section will survive such termination. 13. RELATIONSHIP OF PARTIES. You, and CLF are independent contractors. You are providing advertising services. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement whether on your site or otherwise, that would reasonably contradict anything in this section. 14. LIMITATION OF LIABILITY. CLF will not be liable to you or any other person or entity for any special, indirect, consequential or exemplary damages (including, without limitation any loss of revenue, profits, or data) arising in connection with this agreement or the program, even if we or any of our representatives have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this agreement and the program will not exceed the total fees and bonuses paid or payable to you under this agreement. All claims made hereunder by you against us shall be made within ninety (90) days of the act or omission, which forms the basis of such claims. 15. DISCLAIMERS. We make no express or implied warranties or representations with respect to the program or any services offered through the program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing or trade usage). In addition, we make no representation that the operation of the Marketing Affiliate Resource Center, the YCA site or any other site sponsored by us in connection with this agreement will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors or termination of any services, products or this agreement. 16. INDEPENDENT INVESTIGATION. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS EXPLICITLY SET FORTH IN THIS AGREEMENT. 17. MISCELLANEOUS. This agreement will be governed by the laws of the United States and the state of California without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in Los Angeles County, CA - and you irrevocably consent to the jurisdiction of such courts. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. If the person entering into this Agreement is acting on behalf of his or her company or organization, such person hereby represents to CLF that he or she has all requisite power and authority to enter into this agreement on behalf of such company or organization, that this Agreement has been duly authorized by such company or organization and that this Agreement will constitute a legal, valid, and binding obligation of such company or organization. Such person hereby agrees to indemnify and hold harmless CLF from any and all claims, damages and expense (including without limitation attorney's fees) arising from any breach of this section. If any provision of this agreement shall be held or made invalid or unenforceable by a court decision, statute, rule or otherwise, the remaining provisions of this agreement shall not be affected hereby. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against, the parties and their respective successors and assigns.
